Annual Budget: [Organisation name] FY[YYYY]
Annual operating plan and budget pack for a group or business unit:
targets, planning calendar and approval route, strategic priorities,
key assumptions, revenue plan, headcount and people cost, operating
expense by cost centre, capital expenditure, budgeted income
statement, balance sheet and cash flow, sensitivities, monthly
phasing and sign-off. Written as original practice guidance for
financial planning and analysis (FP&A); budget preparation is not
prescribed by a standard, but approval by the board or its delegate
is normally required by the articles, the delegation of authority
and lender covenants. Replace every [bracketed] value and every
row marked Example. This is a document format, not financial,
investment, tax, legal or accounting advice.

1. Executive summary and targets
[Two to four paragraphs: what the budget delivers, the growth and margin story, the investment choices, the funding position and the main risk.]
Example: The FY2027 budget for Corvid Commerce Group targets revenue of EUR 160,000k, up 14.3% on the FY2026 latest estimate of EUR 140,000k, and EBITDA of EUR 21,600k (13.5% margin, up from 12.0%). Growth is led by the subscription platform (annual recurring revenue from EUR 86,000k to EUR 106,000k). Commerce grows at a slower 8.0% as the group shifts mix towards higher-margin consumables. The budget funds 75 net new roles, the largest share (30) in research and development, mostly in Vietnam, and EUR 12,000k of capital expenditure, of which half is capitalised platform development. Closing cash is EUR 26,400k with an undrawn revolving facility of EUR 20,000k; both group facilities mature on 2028-06-30, so the budget assumes they are refinanced by 2027-06-30 (ASM-013). The two largest exposures are commerce volume (a 10% shortfall costs about EUR 1,620k of EBITDA) and the US dollar (a 10% weaker dollar costs about EUR 1,700k of EBITDA).
| Target | FY2026 latest estimate | FY2027 budget | Change | Owner |
|---|
| Revenue | Example: 140,000 | 160,000 | +14.3% | [@ceo] |
| Gross margin % | 59.0% | 60.0% | +1.0 pt | [@coo] |
| EBITDA | 16,800 | 21,600 | +28.6% | [@cfo] |
| EBITDA margin % | 12.0% | 13.5% | +1.5 pt | [@cfo] |
| Closing ARR | 86,000 | 106,000 | +23.3% | [@cro] |
| Year-end FTE | 685 | 760 | +75 | [@chro] |
| Capital expenditure (FY2026 forecast at budget date) | 9,500 | 12,000 | +26.3% | [@cfo] |
| Closing cash | 28,000 | 26,400 | -1,600 | [@treasurer] |
The FY2026 column is the latest estimate available when the board approved the budget in December 2026. Replace it with actuals in the final pack: for the example, FY2026 capital expenditure paid was EUR 8,200k against the EUR 9,500k latest estimate, as reported in Covenant Compliance Certificate (finance/covenant-compliance-certificate).
2. Planning calendar, roles and approval route
The cycle runs top-down then bottom-up: the board sets targets from the strategic plan, budget holders submit costed plans, finance consolidates and challenges, and the executive closes the gap before the board approves.
| Step | Owner | Due | Output |
|---|
| Strategic plan refresh and targets | [@ceo], [@cfo] | Example: 2026-08-31 | Target letter with revenue, EBITDA and capex envelopes |
| Planning letter and templates issued | [@head-of-fpa] | 2026-09-07 | Calendar, templates, assumptions pack |
| Assumptions frozen | [@head-of-fpa] | 2026-09-14 | Section 4 table approved by CFO |
| Budget holder submissions | Budget holders | 2026-10-05 | SUB-NNN files per cost centre |
| Consolidation and first review | FP&A | 2026-10-19 | Version 0.5 and gap analysis |
| Gap-closing review | Executive committee | 2026-11-02 | Agreed actions, version 0.9 |
| Audit committee pre-read (optional) | [@audit-committee-chair] | 2026-11-23 | Comments on assumptions and risks |
| Board approval | Board | 2026-12-10 | Resolution, version 1.0 |
| Load and freeze | FP&A, systems | 2026-12-20 | Budget in ERP and reporting cubes |
2.1 Roles
| Role | Responsibility |
|---|
| Board | Approves the budget, capex envelope and funding; sets risk appetite for the plan |
| CEO and executive committee | Own targets, prioritise investments, close the gap |
| CFO | Owns the process, the assumptions and the integrity of the pack |
| Head of FP&A | Runs the calendar, the model, consolidation and challenge |
| Budget holders | Submit and own cost centre and revenue plans; accountable for variances |
| Treasury | Tests funding, covenants and liquidity headroom |
| Tax | Budgets the effective tax rate and cash taxes |
| HR | Confirms headcount, pay review and on-cost assumptions |
3. Strategic priorities and KPIs
| ID | Strategic priority | Budget lines funded | KPI | FY2027 budget value |
|---|
| PRI-001 (Example) | Grow subscription platform in the US and UK | S&M programmes, sales hires | Closing ARR | EUR 106,000k |
| PRI-002 (Example) | Raise commerce margin through consumables mix | Category marketing, supplier terms | Commerce gross margin | 30.0% |
| PRI-003 (Example) | Scale engineering in Vietnam | R&D hires, Ho Chi Minh City office | R&D loaded people cost per FTE (total R&D cost per FTE is 30,000 gross / 245 = EUR 122k) | EUR 70k |
| PRI-004 (Example) | Automate fulfilment | Warehouse automation capex | Cost per order | EUR 4.10 |
| PRI-005 (Example) | Keep a resilient balance sheet | Cash and facility plan, refinancing by 2027-06-30 | Liquidity headroom (treasury policy definition, section 9.3) | not below EUR 35,000k |
Set targets for growth and margin through OKRs where the organisation uses them; see OKR (business/okr). The budget states the financial consequence of those objectives, not the objectives themselves.
4. Key assumptions
| ID | Assumption | FY2027 value | Source | Owner |
|---|
| ASM-001 (Example) | EUR/USD budget rate | 1.10 USD per EUR | Treasury view, frozen 2026-09-14 | [@treasurer] |
| ASM-002 (Example) | EUR/GBP budget rate | 0.86 GBP per EUR | Treasury view | [@treasurer] |
| ASM-003 (Example) | EUR/VND budget rate | 28,500 VND per EUR | Treasury view | [@treasurer] |
| ASM-004 (Example) | General cost inflation | 2.5% | Consensus forecasts, euro area | [@head-of-fpa] |
| ASM-005 (Example) | Pay review (weighted, effective 1 April) | 3.5% | HR market benchmark | [@chro] |
| ASM-006 (Example) | Opening ARR, closing ARR | EUR 86,000k, EUR 106,000k | Sales plan SUB-010 | [@cro] |
| ASM-007 (Example) | Subscription customers: opening, new, churned, closing | 4,000 + 800 - 200 = 4,600; starting ARR per new customer about EUR 18.1k (14,500 / 800) after the move to larger outbound and partner deals | Sales plan SUB-010 | [@cro] |
| ASM-008 (Example) | Commerce orders and average order value | 1,200k orders at EUR 45 | Commerce plan SUB-020 | [@commerce-director] |
| ASM-009 (Example) | Billable services days and day rate | 50,000 days at EUR 200 | Services plan SUB-030 | [@services-director] |
| ASM-010 (Example) | Effective tax rate | 25% | Tax plan | [@head-of-tax] |
| ASM-011 (Example) | Interest: term loan; lease liabilities; cash deposits | 4.0% on EUR 30,000k; about 5% on leases (EUR 360k); about 1.3% on average cash (EUR 360k income) | Facility agreement, lease schedule, treasury view | [@treasurer] |
| ASM-012 (Example) | Trade receivable days, inventory days, payable days (quarter-end balance / quarter flow x 90) | 31, 52, 43 | Working capital plan | [@financial-controller] |
| ASM-013 (Example) | Refinancing of the EUR 50,000k club facilities (term loan 30,000 and RCF 20,000, both maturing 2028-06-30) | New facilities signed by 2027-06-30 on similar terms | Liquidity and funding plan | [@treasurer] |
| ASM-014 (Example) | US dollar exposure | US external revenue USD 24,640k less US external costs USD 4,107k (one sixth) = net USD 20,533k | Entity plans, treasury | [@treasurer] |
4.1 Rules for budget rates and conventions
- Budget FX rates are used for the whole year in the budget, the rolling forecast at constant currency and the variance analysis. The translation effect of actual rates is reported as a separate FX variance.
- Amounts are EUR thousand, positive for income and cost, and rounded in each table; small differences in totals come from rounding and are not adjusted.
- The budget uses the same accounting policies as the statutory accounts. From FY2027 the group reports under IFRS 18 (effective for annual periods beginning on or after 2027-01-01); budget subtotals follow the subtotals the group will report so that actuals compare like for like. See IFRS 18 Transition Plan (
finance/ifrs-18-transition-plan).
- Management performance measures such as EBITDA are defined once in the glossary and reconciled to the reported subtotal in the monthly management report.
5. Revenue plan by segment
| Segment | Driver logic | FY2026 latest estimate | FY2027 budget | Growth | Assumption |
|---|
| Subscription (Example) | Average of opening and closing ARR (86,000 + 106,000) / 2 | 82,000 | 96,000 | +17.1% | ASM-006 |
| Commerce (Example) | 1,200k orders x EUR 45 | 50,000 | 54,000 | +8.0% | ASM-008 |
| Professional services (Example) | 50,000 days x EUR 200 | 8,000 | 10,000 | +25.0% | ASM-009 |
| Total revenue | | 140,000 | 160,000 | +14.3% | |
5.1 ARR roll-forward
| Movement | EUR thousand |
|---|
| Opening ARR 2027-01-01 (Example) | 86,000 |
| New customers | 14,500 |
| Expansion (upsell and price) | 10,800 |
| Contraction | (1,600) |
| Churn | (3,700) |
| Closing ARR 2027-12-31 | 106,000 |
Check: 86,000 + 14,500 + 10,800 - 1,600 - 3,700 = 106,000. Gross revenue retention is (86,000 - 1,600 - 3,700) / 86,000 = 93.8%; net revenue retention is (86,000 + 10,800 - 1,600 - 3,700) / 86,000 = 106.4%. Unit economics behind these figures sit in Unit Economics Analysis (finance/unit-economics-analysis).
5.2 Revenue by entity and currency
| Entity | Role | Local currency | External revenue in local currency | Budget rate | EUR thousand |
|---|
| CC-HOLD Corvid Commerce Group plc (England and Wales) (Example) | Listed parent, holding company | EUR | 0 | 1.00 | 0 |
| CC-DE Corvid Commerce GmbH (Germany) | Operating HQ: all commerce (invoiced in EUR, including US and UK orders), EU subscriptions, services | EUR | 107,600k | 1.00 | 107,600 |
| CC-UK Corvid Commerce Ltd | UK subscriptions and services | GBP | 25,800k | 0.86 | 30,000 |
| CC-US Corvid Commerce Inc | US subscription sales only | USD | 24,640k | 1.10 | 22,400 |
| CC-VN Corvid Commerce Vietnam LLC | Engineering and customer-support service centre, cost-plus fee from CC-DE (eliminated) | VND | 0 | 28,500 | 0 |
| Group | | | | | 160,000 |
Check: 25,800 / 0.86 = 30,000; 24,640 / 1.10 = 22,400; 107,600 + 30,000 + 22,400 = 160,000. US budget phasing: Q1 USD 6,160k, Q2 to Q4 USD 18,480k. CC-VN earns only an intercompany cost-plus fee, which is eliminated on consolidation, so it has no external revenue; its costs sit in research and development and in delivery. The US entity sells subscriptions only, so US subscription revenue is the group's whole US dollar revenue exposure (ASM-014).
6. Headcount and people cost
| Function | Opening FTE | Closing FTE | Average FTE | Loaded cost per FTE (EUR k) | People cost (EUR k) | P&L line |
|---|
| Delivery and customer operations (Example) | 160 | 180 | 170.0 | 55 | 9,350 | Cost of sales |
| Sales and marketing | 200 | 220 | 210.0 | 85 | 17,850 | S&M |
| Research and development | 230 | 260 | 245.0 | 70 | 17,150 | R&D |
| General and administrative | 95 | 100 | 97.5 | 90 | 8,775 | G&A |
| Total | 685 | 760 | 722.5 | 73.5 | 53,125 | |
Average FTE here is the simple average of opening and closing; replace it with the month-weighted average from the position list. People cost is shown gross: EUR 4,800k of research and development people cost relates to platform development that meets the capitalisation criteria and is credited to capital expenditure (CAP-001) in section 7, so it is not counted twice. Loaded cost includes salary, the 3.5% pay review from 1 April (ASM-005), employer social charges, benefits and bonus at target. The total loaded cost per FTE is 53,125 / 722.5 = 73.5.
6.1 Position list extract
| Position ID | Role | Entity | Cost centre | Start month | Annual loaded cost (EUR k) | FY2027 cost (EUR k) |
|---|
| POS-0412 (Example) | Senior backend engineer | Vietnam | CC-310 R&D platform | 2027-04 | 48 | 36 |
| POS-0413 (Example) | Account executive | US | CC-210 Sales US | 2027-02 | 150 | 137.5 |
| POS-0414 (Example) | Payroll accountant | Germany | CC-410 Finance | 2027-07 | 78 | 39 |
A hire starting in month m costs (13 - m) / 12 of the annual loaded cost in a calendar year: 48 x 9 / 12 = 36; 150 x 11 / 12 = 137.5; 78 x 6 / 12 = 39.
7. Operating expense by cost centre
| Cost centre group | People | Programmes and tools | Facilities and other | Capitalised to CAP-001 | Total FY2027 | FY2026 LE | Change |
|---|
| Sales and marketing (Example) | 17,850 | 15,000 | 3,150 | 0 | 36,000 | 31,500 | +14.3% |
| Research and development | 17,150 | 11,200 | 1,650 | (6,000) | 24,000 | 21,300 | +12.7% |
| General and administrative | 8,775 | 1,800 | 3,825 | 0 | 14,400 | 13,000 | +10.8% |
| Operating expense before D&A | 43,775 | 28,000 | 8,625 | (6,000) | 74,400 | 65,800 | +13.1% |
Checks: 17,850 + 15,000 + 3,150 = 36,000; 17,150 + 11,200 + 1,650 - 6,000 = 24,000; 8,775 + 1,800 + 3,825 = 14,400. Research and development programmes and tools comprise tools, licences and development environments of 5,200 and external development contractors of 6,000. The capitalised amount of 6,000 is internal people cost of 4,800 plus contractor cost of 1,200 on qualifying platform features; gross research and development spend is 30,000, of which 24,000 is expensed and 6,000 capitalised. In G&A, programmes and tools are professional fees; facilities and other comprises facilities of 2,400 and other costs of 1,425. People cost in operating expense (43,775) plus delivery people in cost of sales (9,350) equals the total people cost of 53,125 in section 6.
Cloud hosting sits in cost of sales for the subscription segment. Tie the cloud figure to the FinOps forecast in FinOps Cost Review (ops/finops-cost-review).
| Submission | Cost centre | Budget holder | Requested | Approved | Reason for change |
|---|
| SUB-110 (Example) | CC-120 Brand marketing | [@marketing-director] | 6,200 | 5,400 | Two campaigns moved to Q1 FY2028 after gap review |
| SUB-311 (Example) | CC-310 R&D platform | [@cto] | 9,800 | 9,600 | Four hires moved from Germany to Vietnam |
| SUB-412 (Example) | CC-420 Legal | [@general-counsel] | 900 | 900 | Approved as submitted |
8. Capital expenditure plan
| Capex ID | Project | Category | FY2027 budget | Approval route | Status |
|---|
| CAP-001 (Example) | Platform features (capitalised development: people 4,800, contractors 1,200, credited from R&D in section 7) | Intangible | 6,000 | Quarterly R&D governance | Envelope |
| CAP-002 (Example) | Warehouse automation, Leipzig | Property, plant and equipment | 2,800 | Capex request plus appraisal | To be submitted Q1 |
| CAP-003 (Example) | Laptops and IT hardware refresh | Property, plant and equipment | 2,500 | Delegation of authority | Envelope |
| CAP-004 (Example) | Ho Chi Minh City office fit-out | Property, plant and equipment | 700 | Capex request | Approved 2026-11 |
| Total | | | 12,000 | | |
Projects above [EUR 1,000k] follow Capex Request (finance/capex-request) with an appraisal from Investment Appraisal (finance/investment-appraisal). Approval limits come from Delegation of Authority Matrix (finance/delegation-of-authority-matrix). Capitalisation of development cost follows the group accounting policy; the budget does not change the policy.
9. Budgeted income statement, balance sheet and cash flow
9.1 Income statement
| Line (EUR thousand) | FY2026 LE | FY2027 budget | Change |
|---|
| Revenue (Example) | 140,000 | 160,000 | +20,000 |
| Cost of sales | (57,400) | (64,000) | (6,600) |

| Sales and marketing | (31,500) | (36,000) | (4,500) |
| Research and development | (21,300) | (24,000) | (2,700) |
| General and administrative | (13,000) | (14,400) | (1,400) |
| EBITDA (management measure) | 16,800 | 21,600 | +4,800 |
| Depreciation and amortisation | (5,600) | (6,400) | (800) |
| Impairment of goodwill and other assets, Vietnam CGU | (2,600) | 0 | +2,600 |
| Operating profit | 8,600 | 15,200 | +6,600 |
| Net finance cost (ASM-011) | (1,300) | (1,200) | +100 |
| Profit before tax | 7,300 | 14,000 | +6,700 |
| Income tax (ASM-010) | (2,475) | (3,500) | (1,025) |
| Profit for the year | 4,825 | 10,500 | +5,675 |
FY2027 net finance cost: term loan interest 1,200 (4.0% x 30,000) plus lease interest 360 less interest income on cash 360 = 1,200. The FY2026 impairment of EUR 2,600k follows the annual test at 31 October (Impairment Test Memo, finance/impairment-test-memo); it is outside EBITDA under the group definition (glossary) and is treated as not tax-deductible in the example, so FY2026 tax is 25% of 9,900 = 2,475.
Cost of sales by segment for FY2027: subscription 19,200 (gross margin 80%), commerce 37,800 (30%), services 7,000 (30%); total 64,000.
9.2 Cash flow
| Line (EUR thousand) | FY2027 budget |
|---|
| EBITDA (Example) | 21,600 |
| Increase in working capital | (2,100) |
| Income tax paid | (3,300) |
| Net cash from operating activities | 16,200 |
| Capital expenditure (section 8) | (12,000) |
| Net cash used in investing activities | (12,000) |

| Lease principal repaid | (1,600) |
| Dividend paid | (3,000) |
| Net cash used in financing activities | (5,800) |
| Net change in cash | (1,600) |
| Opening cash | 28,000 |
| Closing cash | 26,400 |
Classify cash flow lines under the group's cash flow policy; the lines above are a management view.
9.3 Balance sheet and funding summary
| Item (EUR thousand) | 2026-12-31 LE | 2027-12-31 budget |

| Cash (Example) | 28,000 | 26,400 |
| of which trapped cash (Vietnam customer deposit account, not freely transferable) | 1,000 | 1,000 |
| Term loan (bullet, matures 2028-06-30; refinanced under ASM-013) | 30,000 | 30,000 |
| Net debt excluding leases (management measure) | 2,000 | 3,600 |
| Lease liabilities | 8,000 | 6,400 |
| Covenant net debt (including leases, excluding trapped cash) | 11,000 | 11,000 |
| Undrawn revolving credit facility (EUR 20,000k, matures 2028-06-30) | 20,000 | 20,000 |
| Liquidity headroom (unrestricted cash plus undrawn committed facilities with more than 12 months to run) | 47,000 | 45,400 |
| Net debt excluding leases / EBITDA (management) | 0.12x | 0.17x |
| Covenant leverage, indicative (covenant net debt / EBITDA) | 0.62x (on covenant EBITDA 17,800) | 0.51x |
| EBITDA / net finance cost | 12.9x | 18.0x |
Checks: lease liabilities 8,000 - principal repaid 1,600 = 6,400 (no new leases budgeted); covenant net debt 2,000 + 8,000 + 1,000 = 11,000 and 3,600 + 6,400 + 1,000 = 11,000; liquidity 28,000 - 1,000 + 20,000 = 47,000 and 26,400 - 1,000 + 20,000 = 45,400. The 2027-12-31 liquidity counts the revolving facility only because ASM-013 assumes refinancing by 2027-06-30: without it, the facility has six months to run at year end and liquidity would be 25,400, below the EUR 35,000k treasury minimum. FY2026 covenant EBITDA of 17,800 includes the add-backs the facility agreement permits; the FY2027 figure uses budget EBITDA with no add-backs.
Leveragemgmt=21,6003,600=0.17xLeveragecovenant=21,60011,000=0.51xInterest cover=1,20021,600=18.0x The 0.17x management ratio is the headline used in this pack; the covenant ratio on the facility definition (leverage at most 3.00x, interest cover at least 4.00x) is shown in Covenant Compliance Certificate. Test every covenant on the definitions in the facility agreement, not on these management definitions; use Covenant Compliance Certificate (finance/covenant-compliance-certificate) for the formal test and Treasury Policy (finance/treasury-policy) for headroom limits.
10. Sensitivities, risks and opportunities
| ID | Sensitivity | Change tested | Revenue effect | EBITDA effect | Calculation |
|---|
| SEN-001 (Example) | Commerce volume | -10% orders | (5,400) | (1,620) | 54,000 x 10%; at 30% gross margin |
| SEN-002 (Example) | Subscription churn | +1 pt of opening ARR, spread evenly | (430) | (344) | 86,000 x 1% = 860 lost ARR; half-year effect 430; 80% gross margin |
| SEN-003 (Example) | USD weakens 10% | EUR/USD 1.21 | (2,036) | (1,697) | 22,400 - 24,640 / 1.21 = 2,036; net USD exposure 20,533 / 1.10 = 18,667 x (1 - 1.10 / 1.21) = 1,697 |
| SEN-004 (Example) | Pay review | +1 pt | 0 | (362) | 53,125 x 1% x 9 / 12 = 398 (effective 1 April), less 36 capitalised under CAP-001 (4,800 x 1% x 9 / 12) |
Check SEN-003: 24,640 / 1.21 = 20,364, so revenue falls by 2,036; 1.10 / 1.21 = 0.909, so the net USD exposure of EUR 18,667k (US revenue less the one sixth of US costs incurred in dollars, ASM-014) falls by 18,667 x (1 - 1.10 / 1.21) = 1,697. The same one-sixth cost offset is used in Rolling Forecast (finance/rolling-forecast) driver DRV-009. Hedging of this exposure is a treasury decision under Treasury Policy (finance/treasury-policy): CC-US remits most of the surplus to CC-DE as a USD platform fee (forecast USD 16,000k), which treasury hedges in bands, so the budget is shown before hedging.

12. Budget control and governance after approval
- Freeze. The approved budget (version 1.0) is loaded into the ERP and reporting tool and not changed. Outlook changes go into Rolling Forecast (
finance/rolling-forecast).
- Spending control. Commitments are checked against available budget at purchase-order approval. Over-budget commitments follow the delegation of authority.
- Transfers. Budget holders may move up to [EUR 100k] between their own cost lines with FP&A approval; transfers between functions need CFO approval and are logged as BTR-NNN.
- Variance reporting. Monthly actual versus budget with commentary above thresholds, see Variance Analysis (
finance/variance-analysis) and Monthly Management Report (finance/monthly-management-report).
- Re-budget. Only on a board decision after a structural change (acquisition, disposal, change of strategy). The old budget is kept for reference.
- Incentives. If bonus targets use budget figures, state which version and how FX and acquisitions are adjusted.
