Conflicts of Interest Policy and Register Template (MiFID II, SEC)
Conflicts policy, governance RACI, identification triggers, Art. 33 criteria, L x I rating, register, controls, last-resort disclosure, inducements, breaches, MI
How to use: Use it when an investment firm, AIFM, UCITS manager or SEC adviser needs a written conflicts policy and the living register supervisors ask for. Fill the entities, services and regulatory basis first, then the register rows and the control list they reference. The main pitfall is treating disclosure as the control instead of a last resort or a basis for informed consent.

Conflicts of Interest Policy and Register: [Firm legal name]
Written conflicts of interest policy and the register of conflicts that have arisen or may arise, for an investment firm, asset manager or investment adviser. It is built on MiFID II (Directive 2014/65/EU Articles 16(3), 23 and 24(9)) and Commission Delegated Regulation (EU) 2017/565 Articles 27 and 33 to 35, with rows for AIFMs (Directive 2011/61/EU Article 14 and Delegated Regulation (EU) No 231/2013 Articles 30 to 36), UCITS management companies (Directive 2010/43/EU Articles 17 to 20) and SEC-registered investment advisers (fiduciary duty under Advisers Act Section 206, disclosure through Form ADV Part 2A). UK firms map the same content to the FCA Handbook SYSC 10 (reference only). The example firm, Kestrel Bay Capital, and its EU affiliate Kestrel Bay Capital Europe are fictional. Replace every
[bracketed]value and every row marked Example. Obtain the law or rule for the normative text. This is a document format, not legal, compliance or investment advice.

1. Purpose, scope and regulatory basis
This policy sets out how [Kestrel Bay Capital] identifies conflicts of interest that could damage the interests of clients, prevents them where it can, manages the rest, discloses them where required and keeps a record. It applies to every relevant person: directors, partners, employees, tied agents, secondees and contractors who take part in the firm's regulated services, and to any person linked to the firm by control.
The policy covers conflicts between:
- the firm (including its managers, employees and linked persons) and a client or fund;
- one client or fund and another client or fund;
- an employee's personal interests and a client's interests; and
- a group entity's business and the interests of a client of another group entity.
1.1 Regulatory basis (as of 2026-10; check local law)
| Jurisdiction or regime | Main references | What it requires in short |
|---|---|---|
| EU investment firms | Directive 2014/65/EU (MiFID II) Art. 16(3), Art. 23, Art. 24(9); Delegated Regulation (EU) 2017/565 Art. 27 (remuneration), Art. 33 (types), Art. 34 (policy), Art. 35 (record), Art. 36 to 43 (research, underwriting and placing) | Take all appropriate steps to identify, prevent or manage conflicts; written policy proportionate to the firm; disclosure only as last resort; record of conflict-prone services; written reports to senior management at least annually; policy reviewed at least annually |

| US SEC-registered advisers | Investment Advisers Act of 1940 Section 206 (fiduciary duty); SEC Commission Interpretation Regarding Standard of Conduct for Investment Advisers (2019); Section 206(3) (principal and agency cross transactions); Form ADV Part 2A (Items 5, 6, 10, 11, 12, 14, 17) | Eliminate or make full and fair disclosure of all conflicts that might incline the adviser to render advice that is not disinterested, so the client can give informed consent |
| Related US rules | Rule 204A-1 (code of ethics), Rule 206(4)-6 (proxy voting conflicts), Rule 206(4)-7 (compliance programme), Rule 204-2 (books and records) | Specific controls and records for recurring conflict areas |
Proposals are not in force: the EU Retail Investment Strategy package (provisional agreement December 2025) will change inducement and value for money rules once published and applied. Track it and update sections 8 and 9 when it applies.
1.2 Out of scope
Personal data protection, market abuse surveillance and generic
operational risks are covered elsewhere. A conflict that also creates
operational or legal risk is recorded here and cross-referenced in the
Risk Register (compliance/risk-register).
2. Governance and responsibilities
The management body is responsible for the policy and for being satisfied that conflicts are managed. Business heads own the conflicts that arise in their areas. Compliance designs the framework, keeps the register, challenges ratings and reports.
| Activity | Management body | Conflicts Committee | Business head (owner) | Compliance | Internal audit |
|---|---|---|---|---|---|
| Approve policy | A | R | C | R | I |
| Identify new conflicts | I | C | R | R | I |
| Rate and choose controls | I | A | R | C | I |
| Maintain register | I | I | C | A/R | I |
| Approve disclosure as last resort | I | A | R | R | I |
| Report at least annually to senior management | I | C | C | A/R | I |
| Independent assurance | I | I | I | C | A/R |
R = responsible, A = accountable, C = consulted, I = informed.
2.1 Conflicts Committee
| Item | Value |
|---|---|
| Chair | [@chief-compliance-officer] |
| Members | [@head-of-portfolio-management], [@head-of-trading], [@coo], [@general-counsel], [@head-of-distribution] |
| Quorum | [Chair plus two members, one from a control function] |
| Frequency | [Quarterly, and ad hoc within five business days of a High or Very high new conflict] |
| Inputs | New register entries, rating changes, breaches, MI pack, regulatory changes |
| Outputs | Decisions, actions with owners and dates, minutes kept with the register |
A member who has a personal interest in an item declares it and does not take part in the decision on that item. The declaration is minuted.
3. Identification process
The firm identifies conflicts through standing triggers and an annual top-down review. Each trigger has an owner and produces a register entry or a documented "no conflict" conclusion.
| Trigger ID | Trigger | Owner | Output |
|---|---|---|---|
| TRG-01 | New product, fund, mandate or service approval | Product committee | Conflicts section of the approval paper, register entry |
| TRG-02 | New business line, acquisition, outsourcing or affiliate arrangement | COO | Conflicts assessment |
| TRG-03 | Outside business activity or directorship request | Compliance | Approval with conditions, register entry if material |
| TRG-04 | Gifts, entertainment and benefits log | Compliance | Monthly review, inducements assessment |
| TRG-05 | Personal account dealing pre-clearance and breaches | Compliance | Code of ethics process, register if pattern found |
| TRG-06 | Remuneration plan design or change | HR and Remuneration committee | Remuneration conflicts review |
| TRG-07 | Complaints, errors and whistleblowing reports | Compliance | Root-cause review for conflict element |
| TRG-08 | Trade allocation, cross trade and error reports | Head of Trading | Monthly exception review |
| TRG-09 | Annual attestation by all relevant persons | Compliance | Declarations reviewed and logged |
| TRG-10 | Annual top-down review with each business head | Compliance | Register refresh, rating review |
A situation is a conflict for this policy when a relevant person or the firm faces an interest or duty that competes with the duty owed to a client, whether or not damage has occurred. Potential conflicts are recorded as well as actual ones.
4. Conflict types
4.1 Minimum criteria (EU test)
For each service, ask whether the firm, a relevant person or a person linked by control is in one of the following situations. The labels paraphrase points (a) to (e) of Article 33.
| Criterion | Short test |
|---|---|
| C-a | Could gain financially, or avoid a loss, at the client's expense? |
| C-b | Has its own interest in the outcome of the service or transaction, distinct from the client's? |
| C-c | Has an incentive to favour one client or group of clients over another? |
| C-d | Carries on the same business as the client? |
| C-e | Receives, or will receive, a benefit from someone other than the client in connection with the service? |
4.2 Business taxonomy
| Type ID | Type | Typical sources at an asset manager |
|---|---|---|
| CT-01 | Firm versus client | Fees linked to valuations, affiliated products, principal trades, error correction |
| CT-02 | Client versus client | Allocation of limited opportunities, side-by-side management, cross trades, redemption sequencing |
| CT-03 | Employee versus client | Personal account dealing, outside activities, gifts, family relationships |
| CT-04 | Inducements and third-party benefits | Research from brokers, distribution fees, retrocessions, non-monetary benefits |
| CT-05 | Remuneration and incentives | Bonus metrics tied to sales, assets or short-term returns |
| CT-06 | Group and affiliates | Use of affiliated brokers, administrators or funds, shared staff |
| CT-07 | Information and research | Access to inside information, research independence, issuer relationships |
| CT-08 | Stewardship and voting | Votes or engagement at issuers that are clients, sponsors or distributors |
Every register entry carries one primary type and the applicable Article 33 criteria.
5. Assessment and rating
Rate likelihood (L) and impact on clients (I) on a five-point scale. The score is the product:
| Score | Likelihood (L) | Impact on clients (I) |
|---|---|---|
| 1 | Rare: not expected in five years | Negligible: no financial effect, no client would care |
| 2 | Unlikely: could occur once in five years | Minor: small effect on one client, easily remedied |
| 3 | Possible: could occur once in two years | Moderate: measurable loss or unfair outcome for several clients |
| 4 | Likely: expected each year | Major: material loss, complaints, regulatory reportable |
| 5 | Almost certain: occurs several times a year | Severe: widespread harm, enforcement or loss of licence |
| Band | Score range | Required action |
|---|---|---|
| Very high | 15 to 25 | Conflicts Committee decision before the activity continues; consider exiting the activity |
| High | 10 to 14 | Committee approval of controls; quarterly monitoring |
| Medium | 5 to 9 | Owner approval; semi-annual monitoring |
| Low | 1 to 4 | Owner monitors; annual review |
The bands and frequencies are the firm's choice. Set them to the firm's risk appetite and record the rationale. Residual risk uses the same scale after taking credit only for controls that are designed, operating and tested.

KBC = Kestrel Bay Capital. Scores recomputed on entry: each S equals L times I, and bands follow section 5.
Write each register row so that a reader outside the business can understand it: who is conflicted, which clients could be harmed, how the harm would happen and which tested control prevents it. Re-rate a row whenever its trigger recurs, a control fails, or the business changes, and keep the earlier rating in the history so that the annual review can show the trend.

| ID | Date closed | Reason | Approved by |
|---|---|---|---|
| COI-0NN (Example) | YYYY-MM-DD | Affiliated broker arrangement terminated; no further client orders routed | [@conflicts-committee] |

| CTL-19 | Portfolio company fee rule: transaction, monitoring, director and operating partner fees are offset against the management fee at the rate set in the LPA and reported gross and net to LPs | (d); fee measure | CFO | Quarterly fee offset reconciliation |
The fourth column names the Article 34(3) point a measure serves, or another legal basis when the control is not one of the Article 34(3) independence measures (personal transactions fall under Articles 28 and 29 of Delegated Regulation (EU) 2017/565; research payment under Delegated Directive (EU) 2017/593 Article 13). Point (c) of Article 34(3) is about removing pay links between people in different activities, so CTL-15 cites it; fee offsets do not.
The firm documents why any Article 34(3) measure that does not appear above is not needed for its business. For [Kestrel Bay Capital Europe] (Example), the firm records that it does not underwrite or place issues, so Articles 38 to 43 do not apply, and revisits this if the business changes.
When no measure is enough to manage a conflict with reasonable confidence, the preferred response is to decline or exit the activity. Disclosure (section 8) is used only when declining is not appropriate and the client can make an informed choice.
8. Disclosure to clients
8.1 EU investment firms
Disclosure under Article 23(2) of MiFID II is a last resort. It is used only when the organisational and administrative arrangements cannot ensure, with reasonable confidence, that the risk of damage to the client is prevented. Article 34(4) of Delegated Regulation (EU) 2017/565 sets the content. A disclosure made by the firm:
- Is given in a durable medium before the firm acts for the client.
- States clearly that the firm's arrangements are not sufficient to ensure, with reasonable confidence, that risks of damage to the client will be prevented.
- Describes the specific conflict, its general nature and its sources.
- Explains the risks to the client and the steps taken to reduce them.
- Gives enough detail, for the type of client, to support an informed decision.
Over-reliance on disclosure is treated as a deficiency in the policy. The annual review counts how many disclosures were made and asks whether any could be replaced by a control.
8.2 US investment adviser
The adviser owes a fiduciary duty that includes a duty of loyalty. The adviser either eliminates a conflict or makes full and fair disclosure of all material facts so that the client can give informed consent, express or implied. Disclosure must be specific: saying that the adviser "may" have a conflict is not adequate when the conflict exists. Where the adviser cannot make disclosure specific enough for informed consent, it eliminates the conflict or changes the practice.
The main disclosure channels are Form ADV Part 2A (fees in Item 5, performance-based fees and side-by-side management in Item 6, affiliations in Item 10, code of ethics and participation in client transactions in Item 11, brokerage practices in Item 12, referral compensation in Item 14, voting in Item 17), fund offering documents, investment management agreements and specific transaction consents.
8.3 Disclosure log
| Disclosure ID | Conflict ID | Client or group | Channel | Date given | Consent required and obtained |
|---|---|---|---|---|---|
| DIS-001 (Example) | COI-001 | All strategy clients | Form ADV Part 2A Item 6, annual delivery | YYYY-MM-DD | No |
| DIS-002 (Example) | COI-002 | KBC Europe discretionary clients | Pre-contract costs and charges, portfolio management agreement | YYYY-MM-DD | Agreement signed |
| DIS-003 (Example) | COI-009 | Accounts party to cross trades | Written notice and consent where the trade is a principal or agency cross transaction under Section 206(3); otherwise disclosure under Form ADV Part 2A Item 11 and the cross trade procedure (CTL-17) | YYYY-MM-DD | Per trade where Section 206(3) applies; otherwise not required |
9. Inducements and benefits
9.1 Rules applied
| Entity | Rule | Short test |
|---|---|---|
| KBC Europe | MiFID II Art. 24(9); Delegated Directive (EU) 2017/593 Art. 11 | A third-party payment or benefit is allowed only if it enhances the quality of the service and does not impair the duty to act in the client's best interest; existence, nature and amount disclosed |
| KBC Europe, portfolio management or independent advice | MiFID II Art. 24(7) and (8); Delegated Directive (EU) 2017/593 Art. 12 | Third-party monetary benefits are passed to the client in full; only acceptable minor non-monetary benefits may be kept, and they are disclosed |
| KBC Europe | MiFID II Art. 24(9a) as amended by Directive (EU) 2024/2811 (Listing Act, national transposition due by June 2026); Delegated Directive (EU) 2017/593 Art. 13 (check the consolidated text and any amending delegated act) | Research is not an inducement if paid from own resources, from a research payment account, or jointly with execution under the conditions now set by the Listing Act |
| KBC LLC | Section 28(e) of the Securities Exchange Act of 1934 (safe harbour for research paid with client commissions); fiduciary duty; Form ADV Item 12 | Research and brokerage services within the safe harbour, good-faith determination of reasonableness, disclosure |
Detailed research arrangements belong in the Research and Soft Dollar
Policy (compliance/research-and-soft-dollar-policy).
9.2 Inducements log
| ID | Date | Entity | Giver or recipient | Benefit and value | Test applied | Outcome |
|---|---|---|---|---|---|---|
| IND-001 (Example) | YYYY-MM-DD | KBC Europe | Received from [Broker A] | Invitation to an industry conference, value EUR 450 | Minor non-monetary benefit, quality enhancing, disclosed | Accepted, logged |
| IND-002 (Example) | YYYY-MM-DD | KBC Europe | Received from [Fund house B] | Retrocession of 0.25% a year on a third-party fund held in portfolios | Portfolio management: must be passed to clients | Passed in full to client accounts |
| IND-003 (Example) | YYYY-MM-DD | KBC LLC | Received from [Broker C] | Sports event tickets, value USD 1,200 | Above the gifts limit in CTL-09 | Declined |
10. Specific situations
| Situation | Standing rule | Register link |
|---|---|---|
| Trade aggregation and allocation | Aggregate only when consistent with best execution and each client's mandate; allocate at average price, pro rata to pre-allocation; document any change before fill | COI-001, CTL-04 |
| Limited opportunities | Allocate by the written rule in CTL-11; no account type is favoured because of its fee structure | COI-001 |
| Cross trades | Permitted only when both sides benefit, at an independent market price, with no commission to the firm. A client-to-client cross with no commission is usually not a Section 206(3) transaction; it is governed by fiduciary duty (and by Rule 17a-7 for registered funds). Obtain Section 206(3) consent where the firm or an affiliate acts as broker for the other side and is paid | COI-009 |
| Principal transactions | Not undertaken unless the client gives written consent for each transaction before settlement under Section 206(3); EU equivalent assessed case by case | [COI-0NN] |
| Trade errors | Corrected at no cost to the client; gains stay with the client; errors are not netted across clients | [COI-0NN] |
| Side-by-side management | Same investment process, allocation and dispersion testing for all fee structures | COI-001 |
| Affiliated products | Investment committee approval, fee offset, disclosure | COI-002 |
| Valuation | Independent valuation function; valuation affects fees, so the team managing the asset does not set the final value | COI-008 |

11. Escalation and breaches
Any relevant person who becomes aware of an unrecorded conflict or a
failed control reports it to Compliance on the same business day.
Reports may also be made under the Whistleblowing Policy
(compliance/whistleblowing-policy).
| Breach ID | Date found | Conflict ID | What happened | Client impact | Remediation | Reportable | Status |
|---|---|---|---|---|---|---|---|
| BR-001 (Example) | YYYY-MM-DD | COI-001 | A new-issue allocation gave the performance-fee fund 60% against a pre-allocation of 40% | Flat-fee accounts received fewer shares; price movement compensated, USD 18,400 paid to affected accounts | Allocation re-performed; trader retrained; system hard block added | Assessed: not reportable | Closed YYYY-MM-DD |
Client compensation is calculated from the difference between the allocation the client should have received and the one it did receive, valued at the first available market price after the error was found.
12. Monitoring, management information and review

The profiles above follow from section 6.2. Inherent: COI-001 is Very high (16); COI-002, COI-004, COI-007, COI-008 and COI-011 are High (12 each); the other six rows are Medium (scores 6 to 9). Residual: COI-001, COI-002, COI-007, COI-008 and COI-011 are Medium (scores 8, 6, 6, 8 and 6); the other seven rows are Low. The attestation rate is 214 / 218 = 98.2%.
12.2 Reports
| Report | Audience | Frequency | Content |
|---|---|---|---|
| Conflicts MI pack | Conflicts Committee | Quarterly | Section 12.1 measures, new and changed rows, breaches, actions |
| Written conflicts report | Senior management and management body | At least annually | Situations recorded under Article 35, effectiveness of controls, disclosures, recommendations |
| Annual compliance review input | CCO, management | Annually | Testing results for this policy (compliance/annual-compliance-review) |
12.3 Annual policy review
The review assesses whether the policy still covers every service and group entity, whether ratings are realistic, whether each control was tested and worked, whether any disclosure could be replaced by a control, and whether regulatory changes require updates. Deficiencies become actions with owners and dates, and the management body approves the result.
13. Training and attestations
| Audience | Content | Frequency | Evidence |
|---|---|---|---|
| All relevant persons | Policy, how to report, gifts and outside activities | On joining and annually | Completion record |

| Distribution and client service | Inducements, affiliated products, remuneration conflicts | Annually | Completion record |
| Management body | Their own duties, group conflicts, reading the MI | Annually | Board minutes |
Each relevant person signs an annual attestation that they have read the policy, have disclosed all outside activities, directorships, close relationships with clients or suppliers and financial interests that could conflict, and have reported any breach they know of.
